ORGANIZATION, MANAGEMENT, AND CONTROL MODEL

By resolution dated April 14, 2025, the Board of Directors of FM Partec S.p.A. adopted its Organization, Management and Control Model pursuant to Legislative Decree No. 231/2001 in order to ensure the proper management of its activities and to prevent the commission of the predicate offenses provided for therein.

Legislative Decree No. 231/2001 introduced into Italian law a regime of administrative liability of entities for offenses arising from criminal acts, providing that companies may also be held liable for certain crimes committed or attempted, in the interest or to the benefit of the companies themselves, by persons in senior management positions or by persons subject to their direction or supervision.

The Supervisory Body of FM Partec S.p.A., vested with autonomous powers of initiative and control, is responsible for overseeing the implementation of, and compliance with, the Model, as well as promoting its updating.
